Is Bed Bath and Table the same as Bed Bath and Beyond?

Marion van Dijk/Stuff Bed Bath & Beyond has a similar business and the same names to the US retailer and similar name to Bed Bath N Table. New Zealand linen and homewares retailer Bed Bath & Beyond (BBB) has lost its trademark battle against an Australian competitor with a similar name.

The High Court ruled in favour of Bed Bath ‘N’ Table (BBT) in a number of intellectual property-related claims. Bed Bath & Beyond is known for its green branding and furniture, linen and decor, as is Bed Bath ‘N’ Table, which also has green branding, similar branding font and products. For years Bed Bath & Beyond and Bed Bath ‘N’ Table have been competing in the New Zealand retail market, both operating a chain of stores.

In 2018, Bed, Bath & Beyond, which was once known as Linen for Less, filed legal proceedings against Bed Bath ‘N’ Table, alleging that the registration of the Australian business’s 2014 trademark was invalid and its use in New Zealand infringed its trademarks.

  • It also made claims of passing off and breach of the Fair Trading Act.
  • Bed Bath & Beyond registered the word mark “Bed Bath & Beyond” in1994, with another identical trade mark (in relation to a wider class of goods and services) registered in 2014.
  • Bed Bath ‘N’ Table had been the registered owner of the word mark “Bed Bath ‘N’ Table” in Australia since 1976, and in New Zealand since 2014.

The retailers went head-to-head in a hearing in the Wellington High Court. In response to the claims, Bed Bath ‘N’ Table pleaded a number of positive defences, including honest concurrent use. It also counterclaimed that, if the court were to conclude that the Bed Bath & Beyond and Bed Bath ‘N’ Table marks were confusingly similar, then it was the Bed Bath & Beyond registered trademarks that were invalid.

  1. The High Court threw out Bed Bath & Beyond’s claims, and said it was satisfied that the concurrent use of the two marks was unlikely to cause substantial levels of confusion in the New Zealand market.
  2. STUFF Retail giant Bed Bath & Beyond has filed for bankruptcy in the United States, but its namesake in New Zealand is an unrelated company.

“The court found that, based on the law relating to international trademark registration, the BBT 2014 trademark had priority over the BBB 2014 trademark. The assessment of invalidity and/or infringement was required therefore to focus on the BBB 1994 trademark,” the court decision document stated.

“The court accepted that the BBB (1994) and the BBT (2014) trademarks, and the goods and services to which each relate, were undoubtedly similar. But it found much of the confusion that might be expected to arise from that similarity was due to the use of the non-distinctive or elliptically descriptive words ‘bed’ and ‘bath’.

The Commissioner of Trade Marks had recognised this in 1994 when the BBB trademark was registered with a disclaimer, which effectively permitted the use by others of those words. “Most reasonable consumers in the relevant market would recognise that ‘bed’ and ‘bath’ were indirectly descriptive of the characteristics of the goods and services provided by BBB (and BBT) and so would be more attuned to small differences between the marks when considering them as signs of origin.

To the extent some consumers may be confused, that is the price to be paid for the relative nondistinctiveness.” Bed Bath & Beyond provided evidence of confusion to the court, primarily in the form of surveys from store staff, but this was not accepted as “indicating confusion amongst a substantial number of consumers”.

Bed Bath & Beyond chief executive Trevor Brown declined to comment when contacted by Stuff. “By the use of its 2014 trademark, BBT had done no more than represent the truth, which was that its mark was associated with its own business and the goods and services it provided.

Bed Bath & Beyond Beats Amazon in Prices, Analysis Finds Bed Bath N Table (Credit: Rick Madonik/Toronto Star/Getty Images) Bed Bath and Beyond may not tout itself as a bargain retailer, but a price comparison of the home store’s products are showing that the tables have turned for competitor Amazon vs. brick and mortar companies.

  • In an analysis of 30 products, investment firm BB&T Capital Markets found that prices were 6.5 percent cheaper on average at Bed Bath and Beyond compared to Amazon.com.
  • Since early 2012, BB&T Capital Markets has tracked prices from retailers such as Bed Bath and Beyond, and compared them to the typically cheaper Amazon.com.

In the beginning, Amazon was 9 percent cheaper on average compared to other retailers, the reported. In BB&T’s analysis released this week, Bed Bath and Beyond offered a number of cheaper products. One of the 30 items in the analysis is a Bormioli Rocco Misura carafe, which retails for $4.99 at Bed Bath and Beyond, and was listed as $16.61, according to BB&T.

As of Tuesday afternoon, the carafe was listed on Amazon for as low as $6.95, plus $4.50 for shipping. The 6.5 percent pricing edge was before the use of Bed Bath and Beyond’s ubiquitous mailed coupons, which typically offer a 20 percent discount for one item. Amazon and Bed Bath and Beyond did not immediately respond to requests for comment.

“What it comes down to is retailers realize that to remain relevant they’ve got to invest in their prices,” said Anthony Chukumba, the equity analyst who oversaw the analysis. “They have to lower their prices to remain more competitive with Amazon.” Retailers are responding to price-sensitive customers’ “showrooming” tactics – that is, browsing and window shopping at brick and mortar stores, but making their purchases online with cheaper prices.

“I’m interested in the trend and the trend is clearly going in one direction,” Chukumba said, noting that retailers are shaping up on prices and also improving their retail e-commerce environments overall. “People are not just shopping at Amazon because it’s cheaper. It’s a great shopping experience,” Chukumba said.

Of course, lowering prices is a “double-edged sword,” Chukumba said. “To some extent, you have to pick your poison,” he said. “Do you maintain your margin and just watch your sales deteriorate or get more competitive on price and give up margins?” Electronics retailer Best Buy is a “notable example” of a company’s response to the competitive price environment.

  3. In his research note, Chukumba wrote that the Senate’s passage of the Marketplace Fairness Act of 2013 earlier this year increases the likelihood of nationwide online state sales tax collection, “which would further ‘level the playing field’ between Amazon and Bed Bath and Beyond”.

Amazon has reached deals with Nevada, Texas, New Jersey, Arizona, Massachusetts, Indiana, Michigan and Florida to begin collecting sales taxes. “Even in cases in which prices are identical, we estimate Amazon has a ~5 to 10 percent effective ‘pricing advantage’ over Bed Bath & Beyond in many states, by virtue of the fact the former does not collect state sales tax,” Chukumba wrote in his note.

The chief financial officer of financially struggling Bed Bath & Beyond died Friday after jumping from a New York City high-rise, authorities said. Emergency medical workers at the scene confirmed the death of Gustavo Arnal, 52, after he fell from the 57-story skyscraper known as the “Jenga” tower, in New York’s Tribeca neighborhood.

New York police said in a statement Sunday that the investigation is ongoing. Monday evening, New York City medical examiner’s office spokesperson Julie Bolcer said the manner of Arnal’s death had been ruled a suicide. Bed Bath & Beyond’s board chairwoman said the company is “profoundly saddened” by Arnal’s death.

“Gustavo will be remembered by all he worked with for his leadership, talent and stewardship of our Company. I am proud to have been his colleague, and he will be truly missed by all of us at Bed Bath & Beyond and everyone who had the pleasure of knowing him,” Harriet Edelman said in a statement.

Last week, the Associated Press reported, the company announced that it would shutter about 150 of its stores and cut its workforce by 20 percent, estimating that the changes could save the company $250 million in its fiscal year.

In August, its stock plunged more than 40 percent after a 350 percent spike that month, The Washington Post reported, riding a wave of excitement from investors after billionaire Ryan Cohen took a large stake in the struggling retailer. The company’s stock went into a free fall for days when Cohen signaled that he would drop his shares.

It closed Friday at $8.63, a 63 percent drop from its August peak of $23.08. A Securities and Exchange Commission filing confirmed that Cohen sold his entire stake in Bed Bath & Beyond, profiting more than $58 million, according to MarketWatch, after selling 7.78 million shares at weighted average prices ranging from $18.68 to $29.22.

Arnal sold 55,013 Bed Bath & Beyond shares in transactions between Aug.16 and 17, according to Reuters’ calculations based on SEC filings. Those sales amounted to about $1.4 million, though Arnal still had about 255,400 shares remaining in the company, according to the outlet.

The company’s repurchase program wasn’t unique. But for a cash-starved business that announced it would likely be forced to close all of its stores if it couldn’t find an 11th-hour savior to buy it, the money could have been better spent. Instead, it fueled a desperate and ultimately failed effort to support its stock price. The $11.8 billion Bed Bath & Beyond spent on its own stock since 2004 comes to more than twice the $5.2 billion in debt it had on its books in its most recent SEC filing, a debt load that proved crushing for the company. It left the company unable to buy the inventory required to create the sales it needed to reverse losses. “The company’s stewardship of their capital failed,” said Declan Gargan, retail director and credit analyst who follows Bed Bath & Beyond for S&P Global Ratings. Bed Bath & Beyond grew particularly active share repurchases in July 2014, taking on $2 billion in debt to finance share buybacks, as it started to face pressure from activist shareholders to improve the stock’s performance. The company had carried relatively little debt to that point, and it put Bed Bath & Beyond on a path toward a debt load that ultimately proved unaffordable. “We understand they have the equity shareholders to serve. Generally, we would prefer to use their cash flow to invest back in business,” said Sarah Wyeth, the lead credit analyst for the consumer and retail sectors for S&P. “Even M&A would be less risky than a straight share repurchase.” Bed Bath & Beyond was engaged in an active share repurchase program right up until February of 2022, spending $230 million on shares in an accelerated repurchase program over the course of three months. It spent an average of $16.04 on each share. But its efforts to support the stock price did little to help. Its stock plunged 83% last year, and another 88% so far this year before it closed at 29 cents a share on the Friday before the bankruptcy filing. Bed Bath & Beyond’s buyback programs are hardly unique. Chevron (CVX) recently announced plans to repurchase $75 billion worth of its stock with windfall record profits that came from high oil prices. Across Corporate America, share repurchases reached a record $936 billion, according to S&P Dow Jones Indices, up from $882 billion in 2021. Share repurchases are forecast to top $1 trillion this year. And Bed Bath & Beyond isn’t even the first retailer to spend billions of dollars repurchasing its own stock on its way to bankruptcy court. Sears Holdings, which owned the Sears and Kmart brands, repurchased $6 billion of its stock between 2005 and its 2018 bankruptcy filing, Share repurchases are a way for companies to return cash to shareholders indirectly, without them having to pay taxes as they would on a stock dividend. The idea is that by reducing the number of shares outstanding, each remaining share of stock in the hands of investors becomes more valuable. For example, if a company earns $100 million in a quarter, and it has 100 million shares outstanding, it earned $1 a share. If it repurchases 10 million of those shares, its earnings per share increases to $1.11, or 11%, even if its total profits don’t increase at all. Companies can often face market pressure to do share repurchases, especially from activist shareholders. In fact the Bed Bath & Beyond share repurchases were not enough to stop activist investors from pushing out top management of the company in 2019, But share buybacks are also increasingly under fire. President Joe Biden, a frequent critic of share repurchases, included a 1% tax on share repurchases in the Inflation Reduction Act passed by Democrats in Congress last year.

Cohen bought a $121 million stake in Bed Bath & Beyond in the first quarter of 2022 through his investment firm RC Ventures, but then abruptly sold his holdings just five months later after Bed Bath & Beyond soared in a meme stock rally, netting him a profit of over $60 million.

Cohen used his roughly 10% stake in the ailing retailer to push for changes during the brief period he was involved with the company. He was able to get three new board members appointed, and said he hoped to modernize Bed Bath & Beyond’s supply chain and ensure it had better product mix to attract customers while floating the idea of a potential sale, according to a letter RC Ventures sent to Bed Bath & Beyond’s board that was published by the Wall Street Journal,

The Journal did not list a specific focus of the Securities and Exchange Commission investigation. Cohen did not immediately respond to Fortune ‘s request for comment. Cohen drew in thousands of retail investors to Bed Bath & Beyond after buying his shares.
